V. MART CO DBA TOP VALU MARKETS FOR THE EXPANSION OF A RETAIL CENTER LOCATED IN THE WEST RAMONA BOULEVARD REDEVELOPMENT PROJECT AREA IN THE F' CITY OF BALDWIN PARK WHEREAS, the Baldwin Park Redevelopment Agency the Agency") is engaged in activities necessary to execute and implement the Redevelopment Plan for the West Ramona Boulevard Redevelopment Project Area the Project Area"), which Redevelopment Plan was adopted by Ordinance No. 801 of the City Council of the City of Baldwin Park the City Council') on September 6, 1979; and WHEREAS, on May 13, 1991, the Disposition and Development Agreement DDA") was executed by Agency and K V Mart Co.; and WHEREAS, Agency staff and K. V. Mart Co, dba Top Valu Markets Developer") have negotiated a First Amendment to the DDA to include an additional parcel of real property in the property to be conveyed by Agency to Developer and permit the expansion of Developer's existing commercial retail complex located in the West Ramona Boulevard Redevelopment Project Area in the City of Baldwin Park the Project"); and WHEREAS, the Agency and City Council have reviewed and considered the First Amendment to the DDA which provides for the sale of Agency-owned property and subsequent conveyance to Developer; and WHEREAS, notice of a public hearing of the Agency and City Council on the First Amendment to the DDA was given in accordance with applicable law; and WHEREAS, on May 6, 1992, the Agency and City Council held a public hearing on the First Amendment to the DDA and have considered all terms and conditions set forth therein; and WHEREAS, all actions required with respect to the First Amendment to the DDA by all applicable law have been taken in an appropriate and timely manner NOW, THEREFORE, the City Council of the City of Baldwin Park does hereby resolve, determine, and order as follows: SECTION 1. The Project is of benefit to the Project Area and the First Amendment to the DDA effectuates the purposes of the Redevelopment Plan and the Community Redevelopment Law and is in the highest and best interests of the City of Baldwin Park, in that the First Amendment to the DDA is intended to result in a revitalization of a portion of the Project Area which will help expand the City's economic base. SECTION 2 The First Amendment to the DDA contemplates the sale of Agency-owned real property to Developer. The consideration to be paid by Developer for such real property is not less than fair market value in accordance with the terms of the First Amendment to the DDA, provided however, that in the event such sale is deemed to be less than fair market value as determined at the highest use permitted under the Redevelopment Plan, any such lesser consideration is necessary to effectuate the purposes of the Redevelopment Plan.
