HomeMy WebLinkAbout1994 092 CC RESO1994 092 CC RESO(Ìì´B RESOLUTION NO 94-92 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BALDWIN PARK CONFIRMING THE ADVISORY BOARD'S REPORT AND LEVYING THE ASSESSMENT IN THE BALDWIN PARK CITYWIDE ASSESSMENT DISTRICT FOR FISCAL YEAR 1994-95 WHEREAS, the City Council has previously ordered the formation of the Citywide Business Improvement Area the Area") pursuant to the terms and provisions of the Parking and Business Improvement Area Law of 1979, which has been superseded and replaced by the Parking and Business Improvement Area Law of 1989, being Part 6 of Division 18 of the Streets and Highway Code of the State of California Section 36500 et sea.) the Law"); and WHEREAS, the City Council has appointed an Advisory Board for the purpose of making recommendations to the Council on the expenditure of revenues derived from the levy of assessments, on the classification of businesses, and of the method and basis of levying the assessments pursuant to the Law; and WHEREAS, the Advisory Board, comprised of the Chamber of Commerce Executive Committee, has caused to be prepared a Report for Fiscal Year 1994-95 for which assessments are to be levied and collected to pay the costs of improvements and activities described in the Report, which Report is attached hereto as Exhibit A"; and WHEREAS, the City Council did adopt a Resolution of Intention to levy an annual assessment for Fiscal Year 1994-95, and further, did proceed to give notice of the time and place for the public hearing on the question of the levy of the proposed assessment; and WHEREAS, at this time the City Council has heard all testimony and evidence and is desirous of proceeding with the levy of annual assessment for said Area. NOW, THEREFORE, the City Council of the City of Baldwin Park does hereby resolve as follows: SECTION 1: The above recitals are all true and correct. SECTION 2: The City Council hereby orders the programs and activities to be carried out as set forth in the Advisory Board's Report attached hereto as Exhibit A", and orders the annual levy of the Area as shown and set forth and described in said Report and Resolution of Intention. SECTION 3: The assessment as set forth and contained in said Report is hereby confirmed and adopted. SECTION 4: The adoption of this Resolution constitutes the levy of the assessment for the Fiscal Year commencing July 1,1994 and ending June 30,1995. SECTION 5: The estimates of costs, the assessments, and all other matters as set forth in the Advisory Board's Report pursuant to the Law, as submitted, are hereby approved and adopted by the City Council and hereby confirmed. SECTION 6: Written protests were not received from the owners of businesses in the area which will pay 50% or more of the assessments to be levied. In addition, the City's newly created Economic and Development Division will be providing the improvements and activities contained in the proposal attached as Attachment 2. ESTIMATE OF THE COST OF PROVIDING THE IMPROVEMENTS AND ACTIVITIES The Baldwin Park Chamber of Commerce has submitted a budget containing estimated cost of approximately $89,500. In addition, the Community Development Department has submitted a budget containing estimated cost of approximately $41,500. These amounts represent the estimated revenues needed from the Area for the improvements and activities specified. METHOD AND BASIS FOR LEVY OF ASSESSMENT Area assessments are based upon a percentage of the regular business license tax. The percentage differs by the Class of business and relates to the benefit each Class derives from the improvements and activities of the Area. Percentages are as follows: Class A business 60% Class B business 75% Class C business 90% A full description of the types of businesses in each Class is provided in Ordinance No.842, attached. Additionally, certain businesses are exempt for the payment of the assessment levy due to the lack of significant benefit derived from Area activities. These business are: 1. Apartments, rest homes, rooming houses and trailer parks 2. Public Utilities 3. Any business required to have business license for a home occupation within the meaning of the City zoning regulations. 4. Any organization required to obtain a permit to conduct bingo games. Multiple businesses pay only the single highest assessment that would be charged of any one of those businesses when considered individually. No annual charge levied in accordance with this assessment shall exceed $450. AMOUNT OF SURPLUS TO BE CARRIED FORWARD FROM THE PRIOR YEAR None PROPOSED CHANGES IN BOUNDARIES OF THE AREA The City of Baldwin Park does not propose any changes to the current boundaries of the Citywide Business Improvement Area. Those boundaries currently include all of the territory within the exterior boundaries of the City of Baldwin Park. R E C I T A L S: A. In 1982, City adopted Ordinance No.842 Ordinance") which established within the City the Citywide Business Improvement Area Area") in accordance with the provisions of Streets and Highways Code Section 36500 et seq, Parking and Business Improvement Area Law of 1979, which has been superseded and replaced by the Parking and Business Improvement Area Law of 1989, Law")), for the purposes authorized by the Law. B. Chamber has provided promotional programs for the development and improvement of local business and industry in the City. C. Chamber has special expertise, experience, facilities, and personnel necessary to carry on comprehensive programs of business promotion and improvement as contemplated by the Law, and has demonstrated its expertise by performance of such promotion and improvement programs in the prior agreements with City. D. City has determined that Chamber has the ability to provide such programs with funds generated by the Area assessment district funds. E. Chamber and City mutually desire to enter into an agreement to provide for Chamber's performance of promotional programs for the benefit of City and specifically the Area. F. City has determined that this Agreement is required to further the public interest. AGREEMENT NOW, THEREFORE, in consideration of the mutual promises and covenants hereinafter contained, and for consideration, the receipt and sufficiency of which are hereby acknowledged, City and Chamber agree as follows: Section 1. Recitals Incorporated. The Recitals stated above are incorporated herein and made a part of this Agreement. Section 2. Scope of Services. General Civic Promotion and Community Involvement. 1. Chamber shall, at the request of city staff, assist in the following general civic promotion programs: a. An Annual Citizen of the Year Banquet; b. Other community activities, including, but not limited to, cultural and musical special events; community newsletters in conjunction with the City and other interested agencies; local access cable television programming as coordinated with the City and the cable television franchisee; promotion of the Business Crime Prevention Program; and City beautification programs with an effort to encourage business, industrial and commercial property owners to maintain their properties, keep sidewalks clean and make and keep stores attractive. The Chamber shall not have primary responsibility for the activities included within this subsection b, but shall participate in their planning and implementation with City staff. B. Marketing Existing and Expanded Businesses. 1. Chamber shall develop and maintain business promotions and aids to assist existing businesses including, but not limited to, promotions honoring the special accomplishments and celebrations of existing businesses, improved holiday season promotions, and other promotions and publications as may be needed to accomplish the above-stated goals. 2. In addition to the marketing efforts stated in Section B.1 above, Chamber shall develop and maintain business promotions and aids directed at locating new businesses within the City of Baldwin Park. Such programs shall include, but are not limited to, welcoming new businesses by arranging for openings, ribbon cuttings, and other promotions and all publicity for such promotions; publishing community, Area, and business information specifically available for businesses looking to locate in Baldwin Park: and other programs as listed within this Section 2 Scope of Services) to serve the needs of prospective new businesses. 3. Chamber shall specifically develop a Shop N Town Program to inform residents of the many benefits of buying in Baldwin Park. 4. Chamber shall contact each store front business for membership and promotional ideas. 5. Business Seminars/Business Retention. 1. Chamber shall sponsor no less than six 6) seminars specifically designed to assist existing businesses in understanding issues important to them and to provide information that would be of value to improving their business activity. D. Reporting and Administration. 1. Chamber shall submit to City, its adopted budget for funds received for Fiscal Year 1994-95 within thirty 30) days following the execution of this Agreement. 2. Chamber shall give all businesses the opportunity to receive information about the Area and Chamber's activities within the Area, and Chamber shall promote business participation in these activities. 3. The Executive Committee of Chamber shall serve as an advisory board to the City Council regarding promotional activities and expenditures of Ordinance revenues; the administration of all Ordinance funds; fee classifications and percentages established by the Ordinance; the relative benefit of promotional activities to the various business classifications assessed; and proposed revisions to the Ordinance and related policies. 4. On or before May 31,1995, Chamber shall file with the City its Annual Report which identifies and evaluates the performance of the Scope of Services as described in this Agreement. E. City Assistance to Chamber. To assist Chamber in fulfilling these Scope of Service obligations, City shall a) provide Chamber with address labels for needed mailings to the businesses in the Area to assist Chamber in notifying such businesses on activities related to the Area, and b) provide periodic financial reports to Chamber regarding Area revenues and fund balances. Section 3. Chamber Operations. For the purpose of performing the Scope of Services as defined in Section 2 above, Chamber shall employ such personnel, procure such equipment and material, and enter into such contracts as are necessary for the performance of its obligations under this Agreement. Chamber shall, at a minimum: A. Maintain an office at 4141 Maine Avenue, Baldwin Park, California, or at such other locations within the City of Baldwin Park as may be mutually agreed upon by the parties to this Agreement, and shall keep such offices open at least eight 8) hours daily, Monday through Friday, except for holidays as determined by the Chamber Board of Directors and City; 3 BIB] 37650-U01 1994-U02 092-U02 CC-U02 RESO-U02 LI3-U03 FO1126-U03 FO1461-U03 DO1517-U03 C6-U03 RESO-U03 10/10/2001-U04 ADMIN-U04 RESO-U05 94-92-U05 AUG-U05 17-U05 1994-U05 1994 092 CC RESO(Ìì´B B. Maintain a staff adequate to perform the Scope of Services as described in Section 2 above at all times throughout the term of this Agreement; and C. Develop and maintain programs to vigorously promote and encourage new membership in the Chamber. Section 4. Term of Agreement. This Agreement shall be in full force and effect from and after July 20, 1994 through and including June 30, 1995, unless sooner terminated pursuant to Section 6 of this Agreement. Section 5. Compensation. During the term of this Agreement, City shall pay to Chamber for Chamber's performance of the Scope of Services as provided for in Section 2 above, a sum equal to either a) Eighty-nine thousand, five hundred dollars $89,500.00) for Fiscal Year 1994-95 from funds collected from the Area pursuant to the Law, or b) the revenues for Fiscal Year 1994-95 collected from the Area pursuant to the Law, whichever is less. Any revenues collected in excess of Eighty-nine thousand, five hundred dollars $89,500.00) shall be retained by the City to be used for any purpose authorized by the Law. All payments due to Chamber hereunder shall be on a monthly basis; the first being on the effective date of this Agreement, and all other payments on the first Thursday of each month. Chamber agrees that no funds received by it from City pursuant to this Agreement shall be expended for any purpose except the performance of Chamber's obligations under this Agreement. Section 6. Reports. Not less than monthly during the term of this Agreement, and at other times as may be requested by City, Chamber shall provide a full financial accounting of the use of all funds received pursuant to this Agreement during the term of this Agreement. Such financial report(s) shall be in a form acceptable to the City's reasonable discretion. City and/or its independent auditors shall have authority at any reasonable time, as determined by City, to audit Chamber's accounts, with respect to all funds received by Chamber under this Agreement, and the expenditure of any or all of such funds. Area funds shall not be used to pay for more than one 1) such audit during the term of this Agreement. Section 7. Termination. Chamber may terminate this Agreement without cause upon one hundred twenty 120) calendar days prior written notice to City. Chamber may otherwise terminate this Agreement upon a violation by City of any provision of this Agreement, provided that such termination for cause shall not be effective unless and until Chamber provides City with written notice specifying the alleged breach of this Agreement by City, and giving City thirty 30) days to cure such default. City may terminate this Agreement with or without cause upon written notice to Chamber provided, however, that City shall be obligated for the payment of any financial obligations and expenses duly and legally incurred by Chamber pursuant to this Agreement prior to receipt of such notice of termination by Chamber. Liability; Indemnification. Chamber shall be liable to City for any and all expenditures of funds contrary to the provisions of this Agreement and the Law. Chamber shall indemnify, defend, and hold harmless City, its officers, officials, employees, representatives, agents, and volunteers, from and against any claim, demand, judgment, or damages, for any injury to or the death of any person, or damage or destruction to any property, arising out of Chamber's performance of this Agreement. Chamber shall, during the term of this Agreement, have and maintain insurance coverage in such amounts and of such type as approved by City in its sole discretion, and shall file duplicate originals or original endorsements of such policies with City demonstrating such insurance prior to performing any work under this Agreement. Chamber shall not be entitled to any Area funds accrued by City during such period Chamber fails to have such duplicate originals on file with the City. Chamber shall carry worker's compensation insurance as required by law. Section 9. Effective Date. This Agreement, upon execution by Chamber and City, shall be deemed, for all purposes, to be effective and operative on July 20,1994. Section 10. No subcontracting or Assignment. The experience and qualifications of Chamber are specific inducements for City to enter this Agreement. Therefore, Chamber shall neither contract with any other person or entity to perform the services required hereunder, nor assign this Agreement, in whole or in part, to any person or entity, without the express prior written consent of City. Section 11. Independent Contractor. Chamber shall perform all services hereunder as an independent contractor and shall remain at all times as to City a wholly independent contractor. Chamber and its employees shall not represent that it or they are agents or employees of City. City shall not for any purpose become or be deemed to be a partner or joint venturer of Chamber for any purpose. Section 12. Governing Law; Forum; Disputes; Attorneys' Fees. This Agreement shall be governed by and construed under the laws of the State of California, and the Municipal and Superior Courts of the State of California in and for the County of Los Angeles shall have exclusive jurisdiction of any dispute between the parties arising out of this Agreement. In addition to any other rights or remedies, either party may take legal action in law or equity to cure, correct, or remedy any default, to recover damages, to obtain declaratory or injunctive relief, or obtain any other remedy consistent with the purpose of this Agreement. If either party to this Agreement is required to initiate or defend, or is made a party to, any action or proceeding in any way connected with this Agreement, the prevailing party in the final judgment in such action(s) or proceedings(s), in addition to whatever other relief the prevailing party may be entitled, shall be entitled to reasonable attorneys' fees and costs, including costs for investigating such action, conducting discovery, and all other necessary costs the court allows, including fees and costs of appeal. 5 BIB] 37650-U01 1994-U02 092-U02 CC-U02 RESO-U02 LI3-U03 FO1126-U03 FO1461-U03 DO1517-U03 C6-U03 RESO-U03 10/10/2001-U04 ADMIN-U04 RESO-U05 94-92-U05 AUG-U05 17-U05 1994-U05 1994 092 CC RESO(Ìì´B Section 13. No Individual Liability. No officer, official, employee, agent, representative, or volunteer of City shall be personally liable to Chamber, or any successor in interest, in the event of any default or breach by City, or for any amount which may become due to Chamber or its successor, or for breach of any obligation of the terms of this Agreement. Section 14. Conflict of Interest. No officer, official, employee, agent, representative, or volunteer of City shall have any financial interest, direct or indirect, in this Agreement, or shall participate in any decision relating to this Agreement which affects his or her financial interest or the financial interest of any corporation, partnership or association in which he or she is interested, in violation of any Federal, State, or City statute, ordinance, or regulation. Chamber warrants it has not paid or given, and shall not pay or give, any third party any money or other consideration for obtaining this Agreement. Section 15. Covenant Against Discrimination. Chamber covenants for itself, its heirs, executors, assigns, and all persons claiming under or through them, that there shall be no discrimination against any person on account of race, color, creed, religion, sex, marital status, national origin, or ancestry in the performance of this Agreement. Section 16. Interpertation. The terms of this Agreement shall be construed in accordance with the meaning of the language used and shall not be construed for or against either party by reason of the authorship of this Agreement or any other rule of construction which might otherwise apply. Section 17. Integration: Amendment. There are no oral agreements between the parties hereto affecting this Agreement and this Agreement supersedes and cancels any and all previous negotiations, arrangements, agreements, and understandings, if any, between the parties, and none shall be used to interpret this Agreement. This Agreement may be amended at any time by the mutual consent of the parties by an instrument in writing. Section 18. Corporate Authority. The persons executing this Agreement on behalf of the parties hereto warrant that i) such party is duly organized and existing, ii) they are duly authorized to execute and deliver this Agreement on behalf of said party, iii) by so executing this Agreement, such party is formally bound to the provisions of this Agreement, and iv) the entering into this Agreement does not violate any provisions of any other Agreement to which said party is bound. Section 19. Notices. All notices required to be delivered under this Agreement or under applicable law shall be personally delivered, or delivered by United States mail, or by reputable document delivery service such as Federal Express. Notices personally delivered or delivered by a document delivery service shall be effective upon receipt. Notices to be delivered to the City shall be directed to City of Baldwin Park, 14403 East Pacific Avenue, Baldwin Park, CA 91706, Attn: Executive Team. A copy of all notices sent to City by Chamber shall be sent to the Baldwin Park City Attorney, do Rutan & Tucker, 611 Anton Boulevard, Suite 1400, Costa Mesa, CA 92626, Attn: Robert S. Bower. Notices to be delivered to the Chamber shall be directed to Baldwin Park Chamber of Commerce, 4141 Maine Avenue, Baldwin Park, CA 91706, Attn: Executive Director. Changes in the address to be used for receipt of notices shall be effected in accordance with this Section 19.
