RESOLUTION OF THE CITY OF BALDWIN PARK
AUTHORIZING AN AMENDMENT TO THAT CERTAIN
REIMBURSEMENT AGREEMENT BETWEEN THE CITY
AND THE BALDWIN PARK REDEVELOPMENT AGENCY
WHEREAS, the City of Baldwin Park the City") is a municipal corporation and
general law city organized and existing under the laws of the State of California and is
authorized to pay for all or a portion of the value of certain property on behalf of a public
corporation and enter into a reimbursement agreement for such expenditure; and
WHEREAS, the Community Development Commission CDC") acts on behalf of
the Baldwin Park Redevelopment Agency the Agency"), a public body corporate and
politic organized and existing under the laws of the State of California; and
WHEREAS, the City has, on behalf of the Agency, paid for i) the costs of certain
land and improvements in connection with a Disposition and Development Agreement
between the Agency and De Vere Anderson Enterprises, dated August 8, 1983, as
amended and ii) certain other land and structures; and
WHEREAS, the City and the Agency entered into an Agreement for
Reimbursement of Certain Costs Between the Baldwin Park Redevelopment Agency
and the City of Baldwin Park dated February 15, 1989 the Reimbursement
Agreement") evidencing the obligations of the Agency to repay the City; and
WHEREAS, the parties desire to amend the Reimbursement Agreement at this
time to extend the term thereof and restructure the payment schedule.
NOW, THEREFORE, THE CITY OF BALDWIN PARK HEREBY FINDS,
DETERMINES, RESOLVES AND ORDERS AS FOLLOWS:
Section 1. Amendment to Reimbursement Agreement The Amended and
Restated Reimbursement Agreement dated as of September 1, 2004 the Amended
Reimbursement Agreement") on file with the City Clerk is hereby approved by the City.
The Mayor and Chief Executive Officer or such other authorized officer of the City is
hereby authorized and directed to execute and deliver, and the City Clerk is hereby
authorized and directed to attest to, the final form of the Amended Reimbursement
Agreement.
Section 2. Official Action. The Mayor, Chief Executive Officer, City Clerk and any
and all other officers of the City are hereby authorized and directed, for and in the name
and on behalf of the City, to do any and all things and take any and all actions, including
execution and delivery of any and all assignments, certificates, requisitions,
agreements, notices, consents, instruments of conveyance, warrants and other
documents, which they, or any of them, may deem necessary or advisable in order to
consummate the transaction contemplated by this Resolution.
