A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF BALDWIN PARK
APPROVING A DISPOSITION AND DEVELOPMENT AGREEMENT BETWEEN THE
CITY OF BALDWIN PARK AND BP DEVELOPMENT PARTNERS (AKA WALBERN)
FOR PROPOSED MIXED USE DEVELOPMENT PROJECT AT THE INTERSECTION
OF BADILLO STREET AND RAMON AVENUE
WHEREAS, the City of Baldwin Park has identified the need for new market rate apartment
housing in to be built within the City; and
WHEREAS, on February 17, 2016, City Council approved the execution of an Exclusive
Negotiating Agreement (ENA) with MJW Investments LLC (Walbern) for them to propose two
residential projects. The sites for these projects were at the intersection of Maine Ave. and
Pacific Ave. and the other at the intersection of Ramona Blvd. and Badillo St. As part of their
ENA requirements Walbern developed a Financial Feasibility Prospectus, a Market Feasibility
Study, provided evidence as to having the Necessary Debt and Equity Financing and conceptual
and phasing plans; and
WHEREAS, at the July 20, 2016, City Council Open Session, Walbem made a presentation
regarding the two potential downtown development projects. This included presenting
conceptual plans and a site plan. In addition, Walbern presented its findings in its Feasibility
Study. The main finding in the Feasibility Study is that there had not been any market rate
apartments built in Baldwin Park in decades and that there was a market for this type of housing.
At the Open Session, City Council approved moving forward with the negotiation of the terms of
Disposition and Development Agreements (DDA) for both sites; and
WHEREAS, the final drawings regarding this project have not been submitted in final form to
the City of Baldwin Park; and
WHEREAS, the City has completed an environmental impact report (SCH #2014121098) for
the overall downtown project area, as approved on February 16, 2016, which said project is a
part; and
WHEREAS, since the July 20`" meeting, staff has moved forward and has been collaborating
with Walbern to develop an agreed to DDA to be used for both sites. The DDA for the
Badillo/Ramona project is attached for your consideration. In the meantime Walbem has also
been refining and continuing to analyze its original proposal and, based in part from City Council
input, have changed the proposed product from market rate apartments to a for sale product.
Walbern has advised that for sale products are within their expertise and would address the City
Council's preference for a for sale market rate product that brings about the pride of ownership;
and
WHEREAS, a Summary Report for the Badillo/Ramona project has been prepared as part of the
staff report and, on the 7th day of December, 2016, the City Council held a public hearing on the
proposed DDA at which time the City Council evaluated all of the information, testimony and

evidence presented, including but not limited to the draft DDA, the City staff report, and the oral
and written testimony received from persons wishing to appear and be heard.
NOW THEREFORE BE IT HEREBY RESOLVED, by the City Council of the City of
Baldwin Park as follows:
1. That based upon all the information, testimony, and evidence presented at the public
hearing, including but not limited to the draft DDA and the information and evidence set
forth in the staff report, and the oral and written testimony received, the City Council
finds and determines that the draft DDA effectuates the goal of providing new market
rate apartment housing to be built in the City of Baldwin Park.
2. That the DDA by and between the City of Baldwin Park and Walbern concerning the
Badillo/Ramona project, a copy of which is attached as Exhibit A, is hereby approved.
This authorization confers upon the City Manager or his designee the authority to take
such other and further actions as may be necessary to sign the DDA on behalf of the City
and to take such other and further actions as may be necessary and proper to carry out the
terms of the DDA and the purpose of this Resolution.
3. Development of the project as proposed is in Compliance with the requirements of the
California Environmental Quality Act as amended, California Public Resources Code,
Section 2100 et seq. and all applicable state and local ordinances and regulations enacted
pursuant hereto. Provided that the project is in compliance with the development
standards contained in the Downtown Transit Oriented Development Specific Plan, no
further CEQA Analysis or findings are required. All CEQA findings and analysis can be
found in the Downtown Transit Oriented Development Specific Plan documents.
4. This resolution shall become effective immediately upon its approval.
5. The City Clerk shall certify as to the adoption of this City Council Resolution.
